Will brings over 35 years of providing corporate officers and directors, business owners and their advisors, as well as attorneys and accountants with credible and defensible valuation opinions and consulting across a multitude of industries and contexts. He practices primarily in the area of valuation opinions related to financial reporting under US and International accounting standards, US and international tax compliance, state and federal regulatory compliance, litigation support and expert witness testimony, and financial restructuring. Types of interests valued include control, minority, and preferential interests and securities within corporate and partnership contexts including debt and option securities as well as derivatives.

Will has testified as an expert in the Superior Court of California in addition to having served as a Court appointed neutral appraiser on multiple occasions. He has also taught various professional courses for state accountancy societies and the American Institute of Certified Public Accountants as well as presenting to relevant professional groups.

Prior to joining Cronkite & Kissell, Will held the position of Practice Leader of Southern California Valuation Services for Moss Adams, a national accounting firm, and also served as a member of its Valuation Services Steering Committee. Prior to Moss Adams, he was a Senior Manager in the Los Angeles Valuation Services practice of BDO Seidman, LLP, an international accounting firm, and a Senior Financial Consultant for Marshall & Stevens, a national valuation firm.

 

Will earned a Bachelor of Science diploma in Corporate Finance from the Marshall School of Business, University of Southern California. He is currently designated as a Chartered Financial Analyst (CFA) and a Chartered Alternative Investment Analyst (CAIA). He also holds the Accredited in Business Valuation (ABV) credential through the AICPA.

Clint offers 35 years of experience in valuation and financial consulting, primarily for the following types of assignments: financial reporting, tax compliance, mergers and acquisitions, financial restructurings, Employee Stock Ownership Plans and expert witness testimony. His experience covers a wide range of industries and includes valuations of controlling interests and minority interests in the capital stock of closely held corporations; publicly traded securities and restricted securities; general and limited partnership interests; managing member and member interests, participating interests, intangible assets and intellectual properties; and, preferred stock, phantom stock, warrants, options, and debt securities.

Clint has testified as an expert in both Federal and State courts. He has also participated in and taught various professional courses for the American Society of Appraisers and California Society of Certified Public Accountants. These courses included business valuation theory and the calculation of business and personal damages.

Previously, Clint held the position of Vice President at Houlihan Lokey Howard & Zukin, an investment banking and financial advisory firm. Before that, he worked for Coopers & Lybrand (now known as PricewaterhouseCoopers LLP), an international accounting firm, as a Senior Manager in the Los Angeles Valuation Services practice. Clint has also taught financial accounting and managerial accounting courses at California State University, Los Angeles.

Clint earned a Diploma in Accounting from McGill University, an MBA from Concordia University, and a BA in Economics from the University of Western Ontario. He is a Chartered Accountant (inactive) with the Canadian Institute of Chartered Accountants and a Senior Business Appraiser with the American Society of Appraisers.

Dave has been an active member of the business valuation community since 1988. He has valued business enterprises, intangible assets, shareholders’ equity and equity derivatives across a wide spectrum of industries and for a variety of purposes.

Previously, Dave held senior positions with several international accounting firms including Coopers & Lybrand, BDO Seidman and Deloitte & Touche. Prior to entering the valuation profession, Mr. Kissell was a tax consultant in the public accounting arena where he was involved primarily in personal financial planning. After graduation from law school in 1982, Mr. Kissell practiced law in Connecticut and as a legal associate performed general research and writing and presented oral argument in numerous venues.

Dave earned a B.A. degree from the University of Western Ontario in 1979 with a major in Economics and a Juris Doctor (J.D.) from Western New England College School of Law in 1982. He is a Chartered Financial Analyst as designated by the CFA Institute.

Andrea has over 20 years of experience in providing financial advisory services to closely held and publicly traded companies in a variety of industries, including apparel, technology, healthcare services, pharmaceuticals, engineering and construction, agriculture, and entertainment. She manages valuation engagements involving valuation opinions for financial reporting under US and International accounting standards, US and International tax compliance, state and federal regulatory compliance, Employee Stock Ownership Plans and valuations for estate planning purposes.

 

Prior to joining Cronkite & Kissell, Andrea was an Associate in the Los Angeles office of Houlihan Lokey Howard & Zukin where she worked on valuations, mergers and acquisitions, as well as private placement assignments.

 

Andrea earned a Bachelor of Arts in Political Science from the University of California at San Diego and a Master of Business Administration from the Marshall School of Business, University of Southern California.
